Terms of Service

1. Acceptance of Terms

By accessing or using the Authenta Invest platform, including Music.co.im and Internetmusic.fans (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Authenta Invest Series 396, LLC, a Wyoming limited liability company ("Authenta Invest," "we," "us," or "our").

2. Eligibility

Age Requirement: You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.

Accredited Investor Status: Investment opportunities on the Platform are available only to accredited investors as defined under applicable securities laws. You represent and warrant that you meet accredited investor requirements if participating in investment activities.

Jurisdictional Restrictions: The Platform may not be available in all jurisdictions. You are responsible for ensuring compliance with local laws regarding cryptocurrency usage, securities regulations, and cross-border payments.

3. Platform Services

Copyright Registry: The Platform provides blockchain-based copyright registration services through CopyrightChains (Chain ID 1199), a private permissioned blockchain dedicated to copyright management under the Power of Content staking scheme.

Licensing and Distribution: We facilitate automated licensing between copyright holders and Digital Service Providers (DSPs), with smart contract execution for royalty distribution. 98% of royalty payments are distributed to rights holders within 60 seconds, with 2% retained as platform transaction fees.

Investment Structures: The Platform offers various investment allocation models ranging from fractional ownership ($1,000 minimum) to institutional allocation ($250,000 minimum). All investments are subject to lock-up periods and redemption terms specified in separate investment documentation.

4. NUT Utility Token

Token Classification: NUT is a MiCA-compliant utility token providing exclusive access to Platform services including copyright registration, rights verification, royalty payment settlement, and automated licensing. NUT is not a security, asset-backed token, or e-money token.

Minimum Value Floor: NUT maintains a $1.19 minimum value floor representing operational cost recovery threshold. This floor is a sustainability mechanism, not an investment guarantee. Market-driven pricing above the floor is allowed.

Buyback Program: Authenta Invest maintains a discretionary buyback program funded by operational revenues. Buyback is not guaranteed and is subject to program capacity limitations. No redemption rights exist for token holders beyond discretionary buyback eligibility.

No Investment Advice: NUT token information does not constitute investment, legal, or tax advice. Consult independent advisors before acquiring or using NUT tokens.

5. Administrative Exclusivity

Copyright holders granting administrative exclusivity to the Platform authorize us to manage licensing, collect royalties, and enforce rights. Copyright holders retain full ownership of intellectual property and creative control.

Administrative exclusivity may be terminated with proper notice as specified in copyright holder agreements. Upon termination, Platform ceases licensing activities and transfers remaining royalty balances within 30 days.

The Platform does not claim ownership rights, creative control, or rights to exploit copyrights beyond administrative functions. Copyright holders maintain rights to exploit copyrights through other channels not conflicting with DSP licensing granted through the Platform.

6. Transaction Fees

2% Transaction Fee: All royalty payments are subject to a 2% transaction fee, allocated as 0.5% to infrastructure costs and 1.5% to platform operations. This fee applies regardless of payment method (NUT tokens, stablecoins, or fiat currency).

Gas Fees: Blockchain gas fees are charged at 2x actual network costs to fund infrastructure providers maintaining validation nodes, storage systems, and computational resources. Typical gas costs range from $0.10 to $0.50 per transaction.

Banking Fees: Fiat currency payments may incur additional banking and payment processor fees depending on jurisdiction and payment method. These fees are separate from Platform transaction fees.

7. User Obligations

Copyright Ownership: You represent and warrant that you own or have legal authority to register copyrights on the Platform. You are solely responsible for the accuracy of copyright ownership information and metadata provided during registration.

KYC/AML Compliance: You agree to complete tiered KYC (Know Your Customer) verification and AML (Anti-Money Laundering) screening as required by regulatory frameworks. Failure to complete verification may result in account suspension or termination.

Prohibited Activities: You agree not to: (a) use the Platform for illegal activities; (b) register copyrights you do not own or have authority over; (c) attempt to bypass security measures; (d) interfere with Platform operations; (e) violate intellectual property rights; or (f) engage in market manipulation or fraudulent transactions.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access or security breaches.

8. Intellectual Property

The Platform, including all software, design, text, graphics, and other content, is owned by Authenta Invest or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes. You may not copy, modify, distribute, sell, or create derivative works from Platform content without our prior written consent.

No Investment Advice: Platform content does not constitute investment, legal, financial, or tax advice. You should consult independent professional advisors before making investment decisions.

No Guarantees: We do not guarantee: (a) achievement of projected transaction volumes, margins, or returns; (b) platform uptime or availability; (c) successful copyright verification; (d) DSP payment fulfillment; (e) token value maintenance; or (f) regulatory approval continuity.

As-Is Provision: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Forward-Looking Statements: Any projections, estimates, or forward-looking statements on the Platform are based on current assumptions and may differ materially from actual results due to market conditions, regulatory changes, or operational challenges.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHENTA INVEST, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of third parties on the Platform
• Unauthorized access, use, or alteration of your content or data
• Smart contract failures, blockchain errors, or transaction errors
• Market volatility, regulatory changes, or token value fluctuations
• Banking relationship terminations or payment processing disruptions

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Authenta Invest, its affiliates, directors, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of third parties; (d) copyright ownership disputes; or (e) your breach of representations and warranties.

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Cheyenne, Wyoming.

Class Action Waiver: You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action.

13. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on the Platform with a revised "Last Updated" date. Your continued use of the Platform after modifications constitutes acceptance of the updated Terms.

You should review these Terms periodically. If you do not agree to modified Terms, discontinue use of the Platform.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
